These Terms of Service (“Terms”) govern your access to and use of the DevlyLab website, services, digital products (scripts), training programs, and custom development solutions (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Agency Services & Custom Development

DevlyLab provides professional web development, e-commerce solutions, and custom coding services to clients globally.

• Project Scope & Estimates: All custom development projects require a signed agreement or written approval of the project scope before work commences. Estimates provided are valid for 30 days.
• Revisions: Custom projects include a predefined number of revisions as outlined in the project proposal. Additional revisions outside the agreed scope will be billed at our standard hourly rate.
• Ownership & Intellectual Property: Upon full and final payment, the client assumes ownership of the custom code and website design. DevlyLab reserves the right to showcase the completed project in our portfolio (e.g., “Our Work” page) unless a Non-Disclosure Agreement (NDA) is signed.
• Maintenance: Ongoing website maintenance and SEO optimization are separate services and require an active subscription or maintenance contract.

2. Digital Products & Script Selling

We offer pre-built scripts, plugins, themes, and other digital assets for purchase.

• License: Purchasing a script grants you a non-exclusive, non-transferable license to use the product on one single domain/project unless a multi-license is explicitly purchased.
• Resale Prohibited: You may not redistribute, resell, or claim intellectual ownership of our pre-built scripts, either modified or unmodified.
• Refund Policy (Digital Goods): Due to the nature of downloadable digital products, all sales of scripts and software are final and non-refundable. We will provide bug fixes and technical support as stated on the product page.

3. Training Programs & Bootcamps

DevlyLab offers educational training, workshops, and coaching in web development, e-commerce, and digital skills.

• Enrollment & Access: Access to course materials is granted only to the enrolled individual. Sharing account credentials or course materials is strictly prohibited and will result in immediate termination of access without a refund.
• Course Modifications: DevlyLab reserves the right to modify, update, or discontinue course curriculums to reflect current industry standards.
• Refunds (Training): Refund policies for training programs (if any) are outlined on the specific course enrollment page. Generally, if you have accessed more than 20% of the course content, no refunds will be issued.

4. Certification Issuance

We issue certificates of completion for our training programs and specific development milestones.

• Validity: Certificates are issued based on the successful completion of required coursework and assessments. DevlyLab reserves the right to revoke a certificate if it is discovered that the student engaged in plagiarism, cheating, or violated these Terms.
• Verification: Certificates may include a unique verification code. DevlyLab maintains a database to verify the authenticity of issued certificates for employers or third parties.

5. Payments & Invoicing

• Custom Projects: Typically require a 50% upfront deposit before work begins, with the remaining balance due upon project completion and before the final handover/launch.
• Late Fees: Invoices not paid within 14 days of the due date may incur a late fee of 5% per month. DevlyLab reserves the right to suspend services or withhold final code delivery until all outstanding balances are settled.

6. Limitation of Liability

To the maximum extent permitted by law, DevlyLab and its team shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities arising from the use of our Services, scripts, or training materials.

We do not guarantee specific business results, search engine rankings, or financial gains from using our web development or e-commerce services.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these Terms or our Services will be subject to the exclusive jurisdiction of the courts in Bangladesh, though we aim to resolve any international disputes amicably through negotiation.

8. Changes to These Terms

DevlyLab reserves the right to modify these Terms at any time. We will notify users of any material changes by updating the “Last Updated” date at the top of this page. Continued use of our Services after such changes constitutes acceptance of the new Terms.
